Terms of Service for BoltEHR, LLC

1. Acceptance of Terms
By accessing the website at [Insert Domain.com] or using the BoltEHR software platform (the "Service"), you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Eligibility and Account Registration
The Service is intended for use by healthcare professionals and entities. To access certain features of the Service, you must register for an account. You agree to:
Provide accurate, current, and complete information.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Notify us immediately if you discover or suspect any security breaches related to the Service.
3. Software-as-a-Service (SaaS) License
Subject to these Terms, BoltEHR, LLC grants you a non-transferable, non-exclusive, revocable, limited license to access and use the BoltEHR platform for your internal business/clinical purposes. You shall not:
License, sell, rent, or lease the Service.
Reverse engineer, decompile, or disassemble any aspect of the software.
Use the Service to build a competitive product.
4. HIPAA Compliance and Patient Data
Both parties agree to comply with the Health Insurance Portability and Accountability Act (HIPAA).
Business Associate Agreement (BAA): Your use of the BoltEHR software is governed by a separate BAA, which is incorporated into these Terms by reference.
Data Ownership: You (the Provider) retain all rights, title, and interest in and to the patient data entered into the system. BoltEHR, LLC acts as a data processor.
5. Subscription Fees and Payment
Billing: Access to the Service is provided on a subscription basis. You agree to pay all fees specified in your individual service plan.
Non-Payment: BoltEHR, LLC reserves the right to suspend access to the Service if payments are more than thirty (30) days overdue, subject to providing notice and an opportunity for you to export your data.
6. Intellectual Property
All content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by BoltEHR, LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.
7. Limitation of Liability
To the maximum extent permitted by law, BoltEHR, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
Your use or inability to use the Service.
Any unauthorized access to or use of our servers and/or any personal information stored therein.
Clinical Decisions: BoltEHR is a tool to assist healthcare providers. All clinical decisions and the accuracy of medical records are the sole responsibility of the healthcare provider.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
10. Changes to Terms
BoltEHR, LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any material changes taking effect.
